Hello, everyone, and welcome today's AMA session with assurance plus groundbreaking platform in the residence in the blockchain space. I'm Blapli and I'll be your host for today. I hope you are excited as I am, to like dive into the incredible innovation and the investment opportunity that Sherin Splash is bringing to the table.

Overview of Mister J and the Project

So today we have honored to have Mister J from the side of the project and joining us to like discuss how they are democratizing access to a high investment, traditionally reserve like ultra high net worth individual. So they have already made waves in their tokenized reassurance security like Delta catry and more. So we will be learning all about it. So stay tuned with us and let's jump topic. But yeah, before that, Mister J, could you please introduce about yourself and your background to our audience first?

Mister J's Background

Yes, absolutely. So I'm Jay Madhu. I'm the CEO chairman of Oxbridge Re. Oxbridge is a publicly traded company on the Nasdaq. Oxbridge over the last few years started its own wholly owned subsidiary called Shornspluse. What Shornsplus has done is it has democratized reinsurance as they just spoke about. My background is capital markets. I've been part of four different companies that I've taken public. One is on the New York Stock Exchange, and three are on the Nasdaq. These are not penny stocks. These are not pink sheet stocks. These are companies that are actually on the big board. I rang the bell. I've been part of ringing the Bella three times on the Nasdaq, once on the New York Stock Exchange. What we are now doing is in reinsurance.

Experience with Previous Companies

I have also been part of a few other companies. The most notable of them is a company called HCI Group that's listed on the New York Stock Exchange. We started that company 14 years ago with $10 million. The next year we took it public with another small $11 million capital raise. Today, that company makes over a billion dollars in revenue, makes over $100 million in profit a year. These are all us dollars, by the way, has close to 600 people that work for it. And it's an insurance underwriting company in the United States. It's in 18 different states. It started off in Florida, is the 14th largest economy in the world. That company, our company, HCI, is the fourth largest insurance underwriter in that state.

Involvement in Financial Crisis and Other Contributions

And plus, it's also in another 17 other states in the US. I'm also in the last financial crisis, there was a bank that was going into receivership. They approached us, we recapitalized the bank, jumped in alongside them, pulled the bank out of receivership. Today, that bank is listed on the Nasdaq, and it's the fourth largest SBA lender, small business Administration lender in the US. So similarly, we are now working on Oxbridge. Oxbridge is an insurance underwriter. Insurance or reinsurance? Pardon me? Reinsurance. So think. Think Berkshire Hathaway, Lloyds of London. Those are reinsurers. And that's exactly what we do. We do reinsurance. Reinsurance is insuring or reinsuring insurance companies. So we're not a broker.

Understanding Reinsurance and Its Challenges

We actually take on the risk of the underlying properties that are being insured. So that, on a very high level, is a little bit about myself and the, and what we're doing. And as we go forward, I'll open it up a little bit more. All right, that's fantastic. Thank you for that great introduction. So now let's again with the heart of today's discussion a little more. So, I mean, like, for those who may be not familiar with Sharon's plus. So could you give us an overview of what the platform is all about? And while you are at it, could you highlight some of its standard features that make it unique player in the reinsurance and the blockchain space?

Introducing the Unique Aspects of Reinsurance

Yes, absolutely. So, as I mentioned, we're in the reinsurance space. Most people have not heard about reinsurance. And the reason being they've never had access to this asset class. So what happens in a situation such as this when people don't have access? They don't quite know what things are. Right? So think about Lloyds of London or Berkshire Hathaway. Most folks, in order to gain access to these contracts, have to put several millions of dollars to work in order to gain access to these contracts. If they don't have several millions of dollars, they can't take part in this asset class. So if somebody wants to buy real estate, you can fractionalize real estate and take a piece of real estate, and along with your friends and family and business associates, you can buy real estate.

High Barriers to Entry in Reinsurance

But reinsurance is something that no matter what the situation is, most people will never have access to this because of two things. One is because the barrier to entry is so high from dollar wise, you have to put several millions of dollars to gain access, and two, the various different things that have to happen. The AML, the KYC, plus, in addition, the counterparty risk. The insurance companies, when they take on this risk, they want to make sure that people have people work this thing, they put their monies up, and monies are available for people to work on. So barrier to entry in situations like this is so extremely high, it's just not possible.

Democratizing Access to Reinsurance Investments

What we have done is we've democratized access. So instead of somebody putting in several millions of dollars to work, somebody with as little as $5,000 can gain access to this asset class. And the way we do what makes it possible is blockchain. So in the old days, if somebody wanted to buy a real estate building, and let's say the building was $100 million, if you took on five partners, ten partners, 15 partners, 20 partners, it's easy. You can do this through an Excel spreadsheet, and you can manage this process quite well. But all of a sudden, if you had 10,000 partners that wanted to take a piece of this, it just wasn't possible.

Innovative Method to Engage Investors

So the way they would limit that is to say, hey, if you want access, you need to put in a large dollar amount. That way they would limit the number of people that would come in and they would still gain whatever they needed to get done. Reinsurance, what we are saying, instead of putting a few million bucks, you can put in as little as $5,000, and you can take on these large contracts alongside us. So the way we do this is we issue a security token. These are securities. This is not crypto. These are securities, and it's an RWA. The underlying RWA, or real world asset, is the actual reinsurance contract.

Operational Mechanism of the Platform

So we act like a hedge fund manager, so to speak. We taken the investment issue a token. The token issued on the avalanche blockchain. We take a small management fee, and the rest of the monies are put to work into the reinsurance contracts. Reinsurance is an asset that pays out really high returns. So these are high yield returns. Things can go wrong as well. And thus the high yield, we typically target a 42% return. Berkshire Hathaway Lodge in London. Look, this is what these guys do, right? So this is something that's always happened. So we target a 42% return. Last year, we targeted a 42% return and actually paid out 49%.

Transparency and Compliance

We're public. So somebody can log into the SEC website, you can log in on Yahoo finance, take a look at things. Transparency and compliance are paramount. So issuing this, raising capital, issuing a tokenized security, putting the monies to work into reinsurance contracts, and then depending on the outcome, paying out a dividend, that's what we do. All right, that's great. Thank you for that thorough overview of Sharon's plus. And actually it's fascinating to hear, like, how you are combining the worlds of reinsurance and blockchain.

Exciting Developments and Future Plans

And the standard feature you mentioned truly set the platform apart. And I'm sure that the audience is already excited about what Sharon sludge brings to the table. So thank you so much for that great overview. Now let's now dive deeper into like, how insurance plus is making high yield reinsurance investment more accessible to the like, broader audience. So actually that was a great explanation of insurance plus and then standard feature. I would love to dive into like, some of its specific innovation you have introduced. Actually in 2024, children's first launched the Delta Cat token, and more recently the applicant cadre, as I know.

Explanation of Token Mechanism

So could you walk us through like, how these token actually work and what are the key benefits for investors who choose to participate in these tokenized reassurance opportunities? Yes. So last year we launched the Delta catchery. These are one year tokens. So these security tokens, they're one year security tokens. And each year when we raise capital. We start raising capital somewhere in the February March area, because these tokens or these contracts go live. June 1 we raise capital, issue the token, and June 1 the monies go hard into reinsurance contracts. They go live, they go on risk.

Continued Growth and Potential Returns

Last year we targeted, like I mentioned, 42% return. We actually paid out 49% return. This year's token of Epsilon Catry, we're targeting similar situation of 42% those tokens. We started raising capital in April, May of this year, and June 1 of this year, it actually went live. So this is a situation where, because of various different things that I mentioned before, the barrier to entry is so high that most people have not heard about it. So this is an asset class that we hope to, as we go forward, democratize it through blockchain. And that's exactly what the new token of Epsilon Catry is doing.

I'll stop there. Thanks for that detailed explanation. So, and it's exciting to see like how these token work and the impressive benefit they offer to investor also listening. So reassurance has, like, traditionally been in, like, investment space reserved for ultra high net worth individual and, like, making it difficult for the average investor to participate.

Changing the Narrative

But the insurance plus is changing the narrative. So could you explain, like, how children's plus is democratizing access to this, like, high yield insurance market and making it, like, more accessible to a broader range of investors?

Access and Investment Barriers

Yes. So, as I mentioned, typically the typical person, if they wanted access to this, they'd have to put a few million dollars, right? Ten, $15 million to work. And most people don't have that high dollar amount. So that's number one. Number two, even if they did have ten, $15 million to put to work, they may not get access to this because this is a highly coveted investment or asset class. So typically what would happen is somebody had $10 million to put to work, they would approach their broker, and their broker would try to get them access to this asset, but because of the way things are done.

High Barrier to Entry

So think about it this way. Everybody's heard of Lloyds of London or Berkshire Hathaway, but how many times has any one of our phones rang to say, with somebody from Berkshire lords of London saying, hey, would you like to invest in this? It never happens. We have taken away that high barrier to entry through blockchain. How do we do that? The way we do that is if somebody is interested in investing in this asset class.

Investment Process with Blockchain

And by the way, you can get more information on our website. The website is the same as our company name, Shorns plus suranceplus.com dot. So theoretically, in April, May, somebody would go, you can read about it now, but in order to invest in the. In the one year token, in the security, somebody could go onto the website, log on, click, it would take them to a site, they would do all their AML and KYC, etcetera.

Quick and Efficient Transactions

And they're able to, within three minutes, we're able to do AML, KYC, and then somebody can wire in their money instantaneously. USDC, USDT, they can send in their monies. We will issue a security token against that. So blockchain has made that possible, because in the past, to try to do AML and KYC for 10,000 people, 20,000 people, and then manage that entire process, that would be a herculean task.

Streamlined Verification Process

But nowadays, because of blockchain, all of this can be done, and it can be done expeditiously, and it can put everybody's information on chain. That way, not only access is granted, but somebody knows that whatever security that they're putting out whatever they're putting in, a, is taken care of and b, if somebody wants to know more about what they're investing, you have total reliance on what there is.

Transparency and Regulation

Because we are publicly traded company and the information is all on the SEC website. We're mandated by the SEC. We're a public company. We've been in business for the last eleven years. So we are now taking this foray where we are putting the best of blockchain and we're putting the best of the SEC into the security token.

Future Developments

Okay, that's amazing. Thank you so much for the answer. And actually it's inspiring to see like how Sharon's best is opening up these high yield opportunities to our like wider audience. Yeah, thanks for that answer. And now, sir, I have last question for you, like before. Jump onto the another segment.

Plans and Expectations

So, yeah, I'm sure like many of our listeners are curious about like what's next for Sharon's plus. So could you share some insight into your development plans and what we can expect from the platform in the upcoming months or years? Yes, absolutely. So I've talked about the background, right? I've talked about the people who are behind this company.

Investment Motivation

I've talked about the actual, the opportunity itself, the business of what we're doing. But the ultimate goal of any investor is how do I make money? That's why we're all doing this. We're not doing this for any other reason. How do I make money? So the thought process for us in our business going forward is Sureance Plus is a wholly owned subsidiary of a publicly traded company. That publicly traded company is listed on the Nasdaq.

Ticker Symbol and Developments

The ticker symbol on the Nasdaq company is OXbr. OxBr now has a wholly owned subsidiary, assurance plus, that is making some huge developments in the RWA space. This is not, this is not a seed company. This is not a seed round. This is not something that we are hoping to launch.

Assurance Plus's Growth

This is not something that if and or one day this is going to be x, Y and Z. This is already in play. This is already in the spot. The goal over here is to, as we go forward, spin insurance plus out into its own publicly traded entity. So how does somebody make money off that? Well, you can go buy the stock of OxBR. Buy the stock.

Investment Opportunities

Well, I'm not telling you to buy the stock. I can't tell you to buy the stock. But if I'm just giving you thought process of how someone get, can get involved. A, if someone was to buy OXBR, theoretically, whatever Shorns Plus, which currently is its only owned subsidiary goes public, obviously the stock potentially would move up north significantly.

Equity Investment and Token Details

So that's number one. Number two, people can take a piece of ShornsPlus, they can invest in the equity of ShornsPlus, they can become equity owners of that company. Thus when the company goes public, they'll make a big clip over there. Or three, they can get involved in the token, the security token. Unfortunately, the security token does not trade at the moment.

Trading Setup in Progress

We are working towards setting up a platform for getting that traded. But whenever that comes through, they can buy and sell the token and they can do various different things over there. But again, like I mentioned, it's all about making money. How can someone get involved? Today you can consider buying the stock of OxBR, log onto your system.

ShornsPlus Investment Appeal

You can do that or you can invest in the equity of ShornsPlus. And we've laid out a few different things to where if an investor invests in the equity of ShornsPlus, it's a very compelling reason for someone to do that. So we're pioneers in the space. We're the first company to have done this.

Market Positioning

There are a few other companies that do a few things such as this, but they're somewhat in the crypto space. There's some Dow mentality and so on. And in order for those companies to go public, in order for those companies to go through, they will need to make sure that the Securities and Exchange Commission of the US are fine with it.

SEC Challenges and Strategy

Currently, crypto is a challenging space for the SEC. What we have done is we've taken the best of SEC and the best of blockchain, the best of crypto and the best of RWA, put it together in a concept that will pass any SEC test and move it forward. So as an investor coming in to this situation, it could be quite interesting.

So let's see, like what they ask. Okay, so one of our members ask you that, like one of the selling points of tokenized reinsurance securities, that they are uncorrelated to capital markets. Can you explain the benefit of this feature for investors?

Benefits of Uncorrelated Investments

Yes, absolutely. So non-correlation to capital markets. A lot of people invest in stocks and bonds and so on and so forth. You invest in the stock market. And if tomorrow there are some geopolitical risk, if some country has a problem, like we now have some problems, major problems brewing in the Middle East, the stock market goes down, or if we have some other issues, stock market goes down.

Insurance and Weather Risk

Insurance plus security token is not correlated to the financial market. So it's not correlated to the stock market. It's a weather risk. It's a weather risk bet that we take insurance, homeowners insurance, and more specifically, reinsurance is related to the weather. It has nothing to do with the stock market whatsoever in terms of risk, right.

Independent Investment Performance

So it's unhinged from the stock market. If the stock market goes down or up or whatever, this has nothing to do with it. So when somebody looks at their investment portfolio and they say, I bought this stock, I bought that stock, I'm doing this, I'm doing X, Y and Z. This investment is totally uncorrelated to the financial markets.

Unique Portfolio Diversification

And that makes it an interesting asset for somebody's portfolio. All right. Yeah, okay. Thank you for breaking that down so well. And its great to hear how this feature adds value for investors, especially in uncertain market. So thanks for that answer and hope our community member got his answer.

Investment Opportunities in Asset Class

Yes. So look, there are a lot of really good investments out there in the world, right? There's various different things. And everybody has a mindset of what works for them. This is an asset class has been available, pardon me, not available. This has been an asset class that has been around for decades, and we have now democratized it and put it on chain and issue it to the general public.

Allocation and Diversification

So if somebody was to take a look at most of their investment, they can take a piece of their investment or their AUM assets under management. They can take a piece of their wealth, put it into ShornsPlus, and it's an uncorrelated risk, either a buy the token or b, invest in the company.

Investing in the company is a couple different ways. You can either buy the stock, which is OXBR, or you can invest in putting monies into insurance plus itself into the equity of ShornsPlus.

Moving on. Yeah, so moving on. Let's talk about the partnership, because I believe, like partnership and collaboration are often play a crucial role in driving innovation and improving user experience. So could you share, like your key partnership or collaboration that Sharon's plus has established to enhance its tokenization model or further improve the experience for investors?

Collaborative Ventures

Yes. So the partnerships are in different ways. Right. So partnerships can come in various different shapes and forms. So some of our key partners, and it's not going to. Maybe some of this may not sound like a partner, but it is actually a partnership.

Legal Partnerships

So, for example, we have three different sets of law firms that we partner with. And when I say partner, I use that term loosely, because we actually pay them.

Compliance Partnerships

We pay them some significant amount of money to make sure that all the pluses, minuses, checks and balances are taken care of. So we have SEC law firms that we partner with. We have blockchain law firms that we partner with. And then because we're in the Caribbean, where we're Cayman Island company, we have to have Caribbean council that we partner with. So that's on the law firm side of things. Then from the accounting side of things, we have three different set of audit firms, audit partners that we partner with. We have not only the Caribbean audit partners, we have SEC audit partners, and we have blockchain audit partners. So we have that. So that is in that whole compliance partnership kind of thing.

Collaboration with Industry Leaders

Then on the other side, in the actual business of what we're doing, we have partnered with Securitize. Securitize is one of the larger firms that does RWAs. We have partnered with Securitize to do some of the few things that we do for Surence Plus. And by the way, BlackRock just was a lead investor in a $50 million investment in Securitize. Right? And they're. They're doing a whole ton of things. We have also recently announced a partnership with Xonix. Xonix. I love the guys at Xonix. They're amazing bunch of guys. Xonix. Now we are talking to them about potentially doing things as we go forward with them. And collectively, we go to various different events and we talk about what we're doing. So, and that partnership and that this group. This is just a few things that I'm kind of mentioning over here.

Team and Expertise

We're talking with, partnering with a few other folks next week. I'm going to bed in Utah. I'm going to be talking at RWA day at permissionless in Utah, Salt Lake City, Utah, meeting with a few other investors, a few other folks over there. So we have investment banks, we have lawyers, we have CPA or audit partners. We have blockchain partners. We have crypto partners. We are combining this whole gamut. This is not an ecosystem that will just survive with one slice of the situation where you partner with. You have to think about this as a whole. And we are thinking about this as a whole, putting in all the various bits and pieces and moving the needle forward. So, yes, that's the, those are the highlights, very, very highlights of what we're doing.

Introduction of Key Team Members

Yes. So I've talked about myself already. I'm the CEO, chairman of insurance plus. I've taken four companies public. One is on the New York Stock Exchange, three are on the Nasdaq. And now we're bridging the gap between blockchain and the SEC and potentially hope to take Shornsplus public as we go forward. Part of my team, we have a decent sized team over here. And the team, part of the other main member of our team is Rendon. Timothy Rendon comes from an audit background. He's worked with two of the big four companies. He's been in this. He's, he used to work for PwC. He was, he was in the audit department of PwC. He's also worked for several, a couple other different Marius companies.

Compliance and Internal Processes

He's an, he's a auditor, he's a CPA and amazing mind, because this group, it just doesn't work with a thought. Right. Like I mentioned before, you have to have a few different things that's been taken care of. So in terms of the front end, that's what we have in terms of the back end, it's all about compliance. We make sure through our various different audit partners, through our various different law partners, we have Maples and Calder, which is one of the larger law firms in the US. We have, we have Ogier in the Caribbean, which is another law firm. So these, along with their information, along with the audit information, along with a team of what we have internally, we move the needle forward.

Democratizing Access

I, look, I keep talking about democratizing. Right? The word. Most of the time when somebody says that democratizing something, people go, yeah, sure. I've heard that from, you know, several people that democratizing something, we are actually democratizing what we're doing. Democratization is basically giving people access to something that they've never had access before. If somebody comes up to you and says, hey, listen, I have this great investment idea, and you could potentially do. Well, you could potentially have access to something that most people have never had access to. And you say, yeah, sure, I'm in. Where can I send my money? No, no, hold up. You have to have $10 million us in order to gain access to this. Most people don't have that right. So the future development of our company is spreading the information about insurance plus, where people with a small dollar amount can get direct access into these reinsurance contracts. Direct access to reinsurance contracts.

Real World Assets

And these are Rwas. These are real world assets, people you've heard of. RWAs being in real estate, RWAs being in wine or watches or cars or emeralds or what have you. Right? We are. But nobody knows the true value of the underlying asset. You have to take somebody's word. In our business, it's completely different. What we are doing is exactly what we've been doing for the last ten years. And you are investing alongside a publicly traded company. So it takes away the compliance, it takes away the worry, it takes away the. How can I do? What can I do? How can I gain access? By investing alongside us, investing alongside me personally into reinsurance contracts. So the future development, what does future development look like? Is doing not only more of the same, which is investing or issuing more RWAs and reinsurance, but as we go forward, the company has an opportunity to do various different RWAs.

Investment Opportunities

We recently talked to, we recently heard about people investing into gemstones, right into mines, into gem mines, and stuff like that. Can we do that? Sure. Can we do real estate? Absolutely. We can do various different things. But the current market for reinsurance is a trillion dollar business. It's a trillion dollar business, and we are one of the pioneers in what we're doing. So the runway for us is immense. The opportunity for us is immense. So before we actually turn and shift focus into various different other RWAs, we look forward to gaining much more critical mass in the reinsurance space. How secure is the insurance? Plus. Okay, so excellent question. Right? Because we all have made various different investments where we're not sure about where we're investing, how we're investing. And we all have to ask ourselves a question. Listen, if I invest x number of dollars into this investment, do I know who I'm investing with? And most of the time in the blockchain space, we have no clue who we're investing with because there's very little information about the underlying project, or maybe there's a lot of information about the underlying project.

A Platform for Transparency

But in terms of security, we don't really know if this is something that is fact or fiction. We see a beautiful website. We see a lot of folks talking about it. We see a lot of popular people pushing this information. The underlying question. The underlying question, again, as Dominic asked, how do we know this thing is secure? How do we know who we're doing business with? And that's why I say we are bridging the gap between blockchain, the best of blockchain, best of crypto, and the best of the SEC. By being a publicly traded company, security is paramount. By being a publicly traded company, transparency is paramount. So when somebody looks at insurance, plus it's very simple. You can take a look at Shornsplash. Yes, we have a. We have an interesting website and so on and so forth.

Verifying Backgrounds

But then you look at the underlying people as to who they're doing it with. You can. You can. You can see their backgrounds. You can see their backgrounds with the SEC. Just not a background on the website. Not a background on various different websites. Today's day and age is huge on information. You can find out and you can put up all kinds of information. But just because you put up information, it doesn't mean it's factual. What is factual information? Factual information is where you can find out about the people that are doing or putting up a project by looking at some place where they've done other things before. And in my opinion, the SEC is a huge space. The securities and Exchange commission of the United States, we have done things.

Commitment to Security

We have taken four companies public, were recorded on the SEC as to having done these different things. So security is in two ways. Number one, you can see who the people are behind it. You can see their accolades. Number two, by putting this on chain and doing this currently with securitize, which is one of the leaders in securitization. Your tokens are on chain. Your tokens that you buy or trade are issued by a publicly traded company. So in all aspects, we have covered security. So security is paramount. We've covered that. As right.
